§ 1 General Provisions, Scope of the General Terms and Conditions (Purchasing and Sales)

1. The General Terms and Conditions of mirrorINOX GmbH & Co. KG apply to all contracts—including future contracts—with businesses, legal entities under public law and special funds under public law concerning deliveries and other services, including contracts for work and services and other ancillary services.

2. The buyer’s terms and conditions of purchase or the seller’s terms and conditions of sale shall not be accepted, even if we do not expressly object to them again upon receipt.

§ 2 Quotations, Conclusion of Contract

1. Our quotations are subject to change and non-binding unless expressly designated as binding or unless they specify a particular acceptance period. Oral agreements, commitments, assurances and guarantees made by our employees in connection with the conclusion of the contract shall become binding only upon our written confirmation.

2. In case of doubt, the latest version of the Incoterms shall govern the interpretation of trade terms.

3. All information, such as dimensions, weights, illustrations, descriptions, price lists and other printed materials, is approximate only, although determined and presented to the best of our ability, and is therefore non-binding on us. It does not constitute guaranteed characteristics. Deviations customary in the trade, deviations resulting from legal requirements or representing technical improvements, and the replacement of components with equivalent parts are permissible, provided they do not impair usability for the contractually intended purpose.

4. The choice of plant or supplier commissioned with the manufacture or delivery of the material shall be at the sole discretion of mirrorINOX GmbH & Co. KG. We are entitled to engage subcontractors.

5. If our contractual partner cancels an order for reasons for which they are responsible, we shall be entitled to a cancellation fee amounting to 30 % of the net sales price agreed for the order. In the case of a custom order, the cancellation fee shall amount to 75 % of the agreed net sales price. We reserve the right to assert further claims for damages. The contractual partner shall be entitled to prove that we have incurred a lesser loss.

§ 3 Prices and Terms of Payment

1. All prices are quoted “ex works” plus statutory VAT and packaging and shipping costs as specified in the order confirmation. VAT at the statutory rate applicable on the date of invoicing will be shown separately on the invoice. Proportionate postage, packaging and shipping costs will be charged for deliveries of accessories and spare parts.

2. All price quotations and price information outside the order confirmation are non-binding and may be amended by us at any time.

Where the agreed prices are based on our list prices and delivery is scheduled to take place more than 4 months after conclusion of the contract, our list prices valid at the time of delivery shall apply (in each case less any agreed percentage or fixed discount). If, after conclusion of the contract and where delivery takes place more than 4 months thereafter, the net purchase prices payable by us for the goods increase by more than 5%, we shall be entitled to pass the price increase on to the contracting party. In the event of price increases exceeding 10%, the parties undertake to enter into supplementary contract negotiations in order to agree an appropriate adjustment to the agreed prices.

3. Prices shall be calculated on the basis of the quantity, weight, square metres or linear metres determined by mirrorINOX GmbH & Co. KG.

4. Unless otherwise agreed, payment shall be made in advance. For deliveries on account, payment is due within 30 days net from the invoice date. We grant a 1% discount for payments received within 10 days.

5. Our prices are not binding for repeat orders relating to previous or current orders.

6. The Buyer shall only be entitled to exercise a right of retention or set-off insofar as its counterclaims have been acknowledged, are undisputed or have been finally adjudicated.

7. If the payment deadline is exceeded or in the event of default, we shall charge default interest at a rate of 9 percentage points above the applicable base interest rate. We reserve the right to claim further damages caused by default.

8. If the customer fails to pay an invoice within 14 days, or if we become aware of circumstances which, in our reasonable commercial judgment, are liable to call the customer's creditworthiness into question, we shall be entitled to withhold any outstanding deliveries.

§ 4 Performance of Deliveries, Delivery Periods and Dates, Transfer of Risk

1. Delivery times are approximate unless expressly agreed to in writing by mirrorINOX GmbH & Co. KG. Delivery periods commence on the date of our order confirmation and apply only provided that all details of the order are clarified in good time.

2. Compliance with delivery periods and dates shall be determined by the time of dispatch from the factory or warehouse. They shall be deemed to have been met upon notification that the goods are ready for dispatch if the goods cannot be dispatched on time through no fault of our own.

3. Events of force majeure entitle us to postpone delivery for the duration of the impediment plus a reasonable start-up period. Force majeure shall include public health, monetary, trade policy and other governmental measures, strikes, lockouts, operational disruptions for which we are not responsible (e.g. fire), obstruction of transport routes, delays in import/customs clearance and all other circumstances (e.g. pandemics and epidemics) which, through no fault of our own, substantially impede or render deliveries impossible. If such events substantially impede or render delivery or performance impossible and the impediment is not merely temporary, we shall be entitled to withdraw from the contract. In the event of temporary impediments, the delivery or performance periods shall be extended accordingly. If the customer cannot reasonably be expected to wait, they may withdraw from the contract by giving prompt written notice.

4. In the event of an initial delay in delivery on our part, a reasonable extension period must be set in writing. If this extension period expires without result, our contractual partner is entitled to withdraw from the contract in respect of the unfulfilled part thereof. Claims for damages arising from delay are excluded.

5. Goods reported as ready for dispatch must be called off immediately, but no later than within 5 days; otherwise, or if dispatch is impossible, we are entitled to store them at the buyer's expense and risk and invoice them as delivered.

6. Our products are packaged in accordance with standard industry practice, and packaging is charged at cost.
Unless otherwise agreed, delivery is ex works. Unless otherwise agreed, we shall also determine the shipping route and means of transport, as well as the carrier and freight forwarder.

7. Over- or under-deliveries are permissible provided they do not exceed customary commercial tolerances. Partial deliveries are also permissible, even if not expressly agreed. Partial deliveries may be invoiced separately.

8. In the event of transport damage, the contracting party must report and document it without delay.

9. If shipment of the goods has been agreed and we have not assumed responsibility for transport, the risk shall pass to our contractual partner no later than upon handover of the delivery item to the forwarding agent, carrier or other third party appointed to carry out the shipment.

§ 5 Retention of Title

1. All goods delivered shall remain our property (goods subject to retention of title) until all claims have been satisfied, including in particular any outstanding balance claims to which we are entitled under the business relationship (current account reservation), as well as claims unilaterally established by the insolvency administrator through the election of performance.

2. The contracting party may resell the goods subject to retention of title in the ordinary course of business, provided that it likewise agrees a retention of title with its business partner. At the same time, it hereby assigns to us in advance any claims arising from such resale up to the value of the respective goods subject to retention of title. We hereby accept this assignment. The goods subject to our retention of title may not be pledged or transferred by way of security.

3. Any treatment or processing of the goods subject to retention of title shall be carried out on our behalf as manufacturer within the meaning of Section 950 of the German Civil Code (BGB), without imposing any obligation on us. The treated or processed goods shall be deemed goods subject to retention of title within the meaning of No. 1. If the buyer processes, combines or mixes the goods subject to retention of title with other goods, we shall acquire a proportionate co-ownership interest in the new item, based on the ratio of the invoice value of the goods subject to retention of title to the invoice value of the other goods used. If our ownership lapses as a result of combination or mixing, the buyer hereby transfers to us the ownership rights to which it is entitled in the new stock or item to the extent of the invoice value of the goods subject to retention of title and shall hold them in safe custody for us free of charge. Our co-ownership rights shall be deemed goods subject to retention of title within the meaning of No. 1.

4. The Buyer shall notify us immediately of any seizure or other interference by third parties. The Buyer shall bear all costs incurred in securing the release of the goods or returning the goods subject to retention of title, insofar as such costs are not reimbursed by third parties.

5. If the Buyer defaults on payment or fails to honour a bill of exchange when due, we shall be entitled to repossess the goods subject to retention of title and, if necessary, to enter the Buyer’s premises for this purpose. The same shall apply if, after conclusion of the contract, it becomes apparent that our claim for payment under this or other contracts with the Buyer is jeopardised by the Buyer’s inability to pay. Repossession shall not constitute withdrawal from the contract. The provisions of the German Insolvency Code shall remain unaffected.

6. If the invoice value of the existing collateral exceeds the secured claims, including ancillary claims (interest, costs or similar), by more than 50% in total, we shall, at the buyer's request, be obliged to release collateral of our choice to the corresponding extent.

§ 6 Liability for Material Defects, Warranty

1. We do not warrant that the goods are fit for ordinary use or possess the customary quality. We provide no guarantees unless expressly agreed otherwise in writing.

Material defects in the goods must be reported in writing without delay, but no later than seven days after delivery. Material defects that cannot be detected within this period even upon the most careful inspection must be reported in writing without delay upon discovery, and no later than before expiry of the agreed or statutory limitation period; any treatment or processing must be discontinued immediately. A complaint does not entitle the contracting party to suspend its payment obligations.

At our request, any delivery item subject to a complaint must be returned to us carriage paid. If the notice of defects is justified, we will reimburse the cost of the least expensive shipping method. This shall not apply insofar as the costs increase because the delivery item is located somewhere other than its intended place of use.

We shall not be liable for defects in the event of an insignificant reduction in the value or fitness for use of the goods.

2. Once the buyer has carried out an agreed inspection and acceptance of the goods, any complaint regarding material defects that could have been identified during the agreed inspection and acceptance procedure is excluded.

3. In the event of a justified and timely notice of defects, we may, at our discretion, remedy the defect or supply defect-free goods (subsequent performance). If subsequent performance fails or is refused, the buyer may reduce the purchase price or, after setting a reasonable deadline that expires without remedy, withdraw from the contract. If the defect is not material, the buyer shall only be entitled to a reduction in the purchase price. If the goods have already been resold, processed or modified, the buyer shall only be entitled to a reduction in the purchase price.

The mere provision of supplementary performance by us shall not, irrespective of the scope of such performance, constitute acknowledgement of the defect alleged by the contracting party. Only our legal representatives or authorised signatories are authorised to make such an acknowledgement.

4. If the Buyer does not promptly give us the opportunity to verify the material defect, and in particular does not promptly make the goods complained of or samples thereof available to us upon request, all rights arising from the material defect shall lapse.

5. We shall bear expenses incurred in connection with subsequent performance only insofar as they are reasonable in the individual case, particularly in relation to the purchase price of the goods, but under no circumstances exceeding 150% of the value of the goods. Costs associated with the removal and installation of the defective item are excluded, as are costs incurred by the Buyer in remedying a defect itself where the statutory requirements for doing so have not been met. We shall not bear any expenses arising from the sold goods having been transported to a location other than the Buyer’s registered office or branch, unless this is consistent with their contractually intended use.

6. The Buyer's rights of recourse under Section 478 of the German Civil Code (BGB) shall remain unaffected.

7. We provide no warranty that the goods are suitable for a particular purpose or application unless expressly agreed otherwise in writing; in all other respects, the risk associated with the application and use of the goods lies solely with the buyer.

8. Minor variations in the characteristics of our goods due to production processes or raw materials shall not be deemed defects.

9. Due to the complexity of the production processes and, in particular, the composition and quality of the raw material, the following additional provisions apply to complaints concerning gloss/gloss level and colour (variations in gloss level and colour): The buyer may only assert claims regarding variations in gloss and colour if binding limit samples have been defined and agreed in advance. If no such limit samples exist, we exclude any such complaint from the outset. Promotional materials and samples do not constitute limit samples. Samples are provided solely for illustrative purposes.

10. As a rule, all sheets supplied by mirrorINOX GmbH & Co. KG are provided with a protective film (manufactured or supplied by Novacel, Poli-Film or Nitto Denko), unless expressly agreed otherwise and confirmed by mirrorINOX GmbH & Co. KG. The manufacturer-specific requirements (shelf life, UV resistance, temperature) of the aforementioned manufacturers must be observed.
The relevant product data sheets are available to the buyer at any time upon request and will be provided by mirrorINOX GmbH & Co. KG.

§ 7 General Limitation of Liability, Limitation Period

1. We shall be liable for breaches of contractual and non-contractual obligations, in particular due to impossibility of performance, delay, fault in the initiation of a contract and tortious acts – including those of our corporate bodies, legal representatives, employees and other agents engaged in the performance of our obligations – only in cases of intent and gross negligence, limited to the foreseeable damage typical of the contract at the time the contract was concluded.

1.1 In this case, liability for property damage and any resulting further financial loss is limited to Euro 25,000.00 per claim, even in the event of a breach of material contractual obligations.

1.2 Indirect and consequential damages resulting from defects in the goods supplied shall furthermore be recoverable only insofar as such damages are typically foreseeable when the goods supplied are used for their intended purpose. The foregoing provision shall not apply in the event of wilful misconduct or gross negligence on the part of members of our governing bodies, senior employees or other agents engaged in the performance of our obligations.

2. These limitations shall not apply in the event of a culpable breach of material contractual obligations. Material contractual obligations are those whose performance is necessary to achieve the purpose of the contract, for example, delivery of the purchased item free from defects. The limitation of liability shall likewise not apply in cases of mandatory liability under the German Product Liability Act, in the event of injury to life, limb or health, or if and to the extent that we have fraudulently concealed defects in the item or guaranteed that it is free from defects. The rules governing the burden of proof shall remain unaffected.

3. Unless otherwise agreed, contractual claims (e.g. warranty claims) arising for the Buyer against us from or in connection with the delivery of the goods shall become time-barred one year after delivery of the goods to the place of destination, unless they concern compensation for personal injury or damage to health or are based on intent or gross negligence on our part or on the part of our legal representatives or vicarious agents. Our liability for intentional and grossly negligent breaches of duty and the limitation period for statutory rights of recourse shall remain unaffected. In cases of subsequent performance, the limitation period shall not recommence.

4. The foregoing exclusions and limitations of liability shall apply to the same extent for the benefit of our corporate bodies, legal representatives, employees and other agents engaged in the performance of our obligations.

§ 8 Place of Performance, Jurisdiction and Applicable Law

1. The place of performance for deliveries and payments shall be our company's registered office

2. For all disputes arising directly or indirectly from the contractual relationship, the court having jurisdiction over the registered office of mirrorINOX GmbH & Co. KG shall have jurisdiction. We shall also be entitled to bring legal action against our contractual partner at its registered office.

3. In addition to these Terms and Conditions, German law shall apply to all legal relationships between us and the Buyer. The provisions of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 (CISG) shall not apply.

§ 9 Miscellaneous

1. If a buyer established outside the Federal Republic of Germany (foreign customer), or the buyer’s authorised representative, collects goods or transports or dispatches them abroad, the buyer must provide us with the proof of export required for tax purposes. If such proof is not provided, the buyer must pay the VAT applicable to deliveries within the Federal Republic of Germany on the invoiced amount.

2. For deliveries from the Federal Republic of Germany to other EU Member States, the buyer must provide us, prior to delivery, with the VAT identification number under which it accounts for acquisition tax within the EU. Otherwise, in addition to the agreed purchase price, the buyer must pay the amount of VAT that we are legally required to charge on our deliveries.

3. Should any provision of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.

§ 10 Technical Conditions, Characteristics of the Subject Matter of the Contract

1. General Provisions
(a) All deliveries of goods by mirrorINOX GmbH & Co. KG are subject to the following terms and conditions, to the exclusion of any additions, amendments or modifications, except for such additions, amendments or modifications as are expressly agreed in writing with mirrorINOX GmbH & Co. KG.

(b) mirrorINOX GmbH & Co. KG manufactures and supplies austenitic stainless steels in the following standard grades: AISI 304 / EN 1.4301 and AISI 304L / EN 1.4307, AISI 316 / EN 1.4401 and AISI 316L / EN 1.4404, in sheet sizes of up to 16,000 x 4000 mm and material thicknesses ranging
from 0.60 mm to 20 mm.

2. Standard dimensions and tolerances
(a) Thickness tolerances
The standard thickness tolerances comply with the manufacturing standards of the original rolling mill in accordance with EN 9445.2.

(b) Width tolerances
Standard widths are 1 000 mm, 1 250 mm, 1 500 mm and 2 000 mm.
Special widths are available upon request.
The width tolerances comply with the manufacturing standards of the original rolling mill in accordance with EN 9445.2.

(c) Length tolerances
The standard lengths are 2 000 mm, 2 500 mm and 3 000 mm, with standard length tolerances of -0 mm/+15 mm. Custom lengths and special tolerances are available upon request.

(d) Flatness tolerances
The standard flatness tolerance for sheets up to max. 3 000 mm may normally be up to 10 mm and, where special flatness tolerances are required, up to 7 mm. Edge waviness: Maximum 5 mm along the longitudinal edge of the entire sheet.

(e) Other stainless steel grades
Other stainless steel grades used, e.g. AISI 430 / EN 1.4016, as well as other ferritic and duplex stainless steels, have a different appearance and different tolerances from the austenitic grades specified under (a). Separate production parameters and tolerances must be agreed in advance for these grades.

(f) Other metals
For other metals, including aluminium and galvanised steel, tolerances other than those specified above may be required.

3. Custom designs and separate agreements on delivery tolerances
(a) Sheet sizes and material thicknesses other than those specified in Sections 1 and 2 are available by agreement and are generally manufactured in accordance with the standard tolerances of mirrorINOX GmbH & Co. KG. If special tolerances are required, they must be expressly agreed in writing no later than upon conclusion of the contract and shall only become valid upon express written confirmation by mirrorINOX GmbH & Co. KG.

(b) For certain projects and contract work, mirrorINOX GmbH & Co. KG may specify in writing specific tolerances applicable to the supply of materials for a particular order. These tolerances supersede the standard manufacturing parameters.

(c) Minimum order quantities may apply to orders requiring special tolerances.

4. Samples
(a) Samples provided by mirrorINOX GmbH & Co. KG are intended solely for initial product selection and must not be used as target, reference or control samples for the goods supplied.

(b) If control samples are required for a specific order, mirrorINOX GmbH & Co. KG must be expressly notified thereof in writing in advance and must expressly accept this requirement in writing.

5. Batch Orders
(a) As a general rule, the raw materials used by mirrorINOX GmbH & Co. KG in its manufacturing processes may vary in colour and appearance. This is due to the nature of stainless steel, aluminium and other metal alloys.

(b) mirrorINOX GmbH & Co. KG shall not be liable for variations in the surface finishes of the materials supplied due to production processes or the raw material, unless limit or control samples / parameters have been agreed in writing in advance.

(c) It is advisable to order complete orders in a single batch to ensure a more uniform surface finish. Raw materials should be ordered at the same time, from the same supplier and from the same batch. If deliveries originate from different batches, mirrorINOX GmbH & Co. KG does not warrant that the products will match one another.

(d) Surface finishes on materials of different thicknesses or from partial deliveries may vary. mirrorINOX GmbH & Co. KG does not guarantee that the products will match one another.

6. Excess or Short Quantities
(a) If an order is placed by weight, the quantity delivered may vary by +/-10 % from the ordered or agreed weight. In this case, the invoice will be adjusted accordingly.

(b) mirrorINOX GmbH & Co. KG shall not be liable for any costs incurred by the customer as a result of shortfalls or excess quantities of the materials supplied.

7. Inspection Standard for Rolling Marks
(a) Metals and stainless steel alloys may exhibit rolling marks originating from the raw material. These visual characteristics may remain present and visible even on finished surfaces. The surfaces supplied comply with the contract and do not constitute a defect.

(b) If stainless steel with a material thickness of 2.0 mm or greater is used, rolling marks and other imperfections in the base material and in the surface finish produced by mirrorINOX GmbH & Co. KG may be more pronounced than with material thicknesses between 0.6 mm and 1.5 mm. This is due to the raw material, cannot be avoided and does not constitute a defect.

(c) The following viewing distances and conditions apply to the visual quality inspection of mirrorINOX surfaces: A viewing distance of 10 metres applies to material used for façade cladding. For material intended for design and exposed surfaces in interiors, a viewing distance of 2 metres applies. The inspection consists of viewing the material directly from the front for 1-3 seconds at the production site under daylight conditions.

8. 2B stainless steel
In its unprocessed form, 2B stainless steel has a less uniform surface than bright-annealed stainless steel (BA/2R). This is due to the nature of 2B stainless steel. In such cases, the irregularities are inherent in the raw material and cannot be avoided. These visual characteristics may remain present and visible even after the surface has been processed.
Nevertheless, the supplied surfaces comply with the contract and do not constitute a defect. This applies in particular to the BEADS and VIBES finishes when 2B stainless steel is used as the substrate material.

9. BEADS Glass Bead-Blasted Finishes
(a) BEADS finishes are such that the colour tone may vary between different sheets and raw material batches. Unless reference samples have been agreed in writing in advance, mirrorINOX GmbH & Co. KG shall not be liable for variations in colour tone and appearance.

(b) BEADS finishes may exhibit imperfections already present in the raw material. These imperfections cannot always be concealed or removed. In such cases, they are inherent in the raw material, unavoidable and therefore in accordance with the contract and do not constitute a defect.

10. VIBES Non-Directional Ground Finishes
(a) VIBES finishes are such that the colour tone may vary between different sheets and raw material batches. Unless reference samples have been agreed in writing in advance, mirrorINOX GmbH & Co. KG shall not be liable for variations in colour tone and appearance.

(b) VIBES surfaces may exhibit imperfections already present in the raw material. These imperfections cannot always be concealed or removed. In such cases, they are inherent in the raw material, unavoidable and therefore in accordance with the contract and do not constitute a defect.

11. Pattern-rolled products
(a) Different rolled patterns may have different production parameters.

(b) For various pattern-rolled stainless steel products, slight changes in length and/or width may occur during rolling.

12. Rolled Pattern Definition
(a) The embossing depth of pattern-rolled surfaces varies depending on the material thickness used. Pattern definition may vary between materials from different batches and separate orders. For certain thicknesses above 1.5 mm, the pattern may fall outside the standard definition.

13. nanoINOX® and uniqueSURPHACE® – Nano-coated stainless steel
(a) Due to the nature of coated stainless steel and other materials, the colour shade may vary slightly under different lighting conditions, between batches and across production runs. Reference samples must be agreed upon prior to production.

(b) Before placing larger orders, it is advisable to agree on reference or limit samples. If limit sample specifications have not been agreed in writing in advance, mirrorINOX GmbH & Co. KG accepts no warranty for differences in colour and appearance of nanoINOX® and uniqueSURPHACE® surfaces.

(c) mirrorINOX GmbH & Co. KG cannot always fully guarantee consistent shades and/or colors of surface finishes and products if goods are ordered in batches or under separate, independent orders.

(d) In some circumstances, the colour parameters cannot always be matched exactly across different material thicknesses. In such cases, mirrorINOX GmbH & Co. KG accepts no liability.

(e) The anti-fingerprint and easy-to-clean properties of nanoINOX® and uniqueSURPHACE® surfaces reduce the appearance of fingerprints and other soiling, among other things, and make the surfaces easier to clean. However, this does not mean that the material will be completely free of visible fingerprints and other soiling.

14. PVD / TiN Coated Surface Finishes
(a) The standard colours for PVD/TiN stainless steel finishes are Champagne-TiN, Gold-TiN, Rose Gold-TiN, Bronze-TiN and Black-TiN.

(b) PVD/TiN finishes may vary in colour and brightness between different batches. The raw materials and/or finishes may contain imperfections that mirrorINOX minimises but that are nevertheless considered acceptable and within the manufacturing parameters for PVD/TiN finishes. In such cases, the imperfections are inherent in the raw material or manufacturing process, cannot be avoided, are deemed to comply with the contract
and do not constitute a defect.

(c) Due to the production process, there may be a longitudinal strip up to 20 mm wide with markings and holes along all sides of the sheets, which cannot be used for certain end applications.

(d) For larger orders, it is advisable to agree on reference or limit samples before placing the order. If no such samples have been agreed upon, mirrorINOX GmbH & Co. KG accepts no warranty claims for variations in colour shade and appearance of the PVD/TiN finishes.

(e) The color parameters cannot always be matched exactly across different material thicknesses. In such cases, mirrorINOX GmbH & Co. KG assumes no warranty whatsoever.
In such a case, the color difference cannot be avoided, and the materials shall be deemed to conform to the contract and shall not constitute a defect.

(f) Material samples provided may not be used as control or reference samples.

(g) mirrorINOX GmbH & Co. KG recommends the Black-TiN PVD/TiN finish for indoor use only.

15. Finish combinations
Due to variations in rolling depth, depending among other factors on material thickness, hardness and batch, as described in Section 12, the pattern definition of pattern-rolled finishes varies when combined with nanoINOX®, uniqueSURPHACE®, PVD / TiN and Fluid Forming processes, as well as in uncoated or uncoloured combinations, and this may also affect the visual appearance.

16. Ground finishes
mirrorINOX GmbH & Co. KG supplies various ground finishes, such as HAIRLINE or SATIN. The appearance of ground or brushed finishes may vary between individual sheets and batches. Such variations are inherent in all these finishes, and materials exhibiting them
conform to the contract as supplied and do not constitute a defect.

17. Fluid Forming Surfaces
a) Fluid Forming surfaces are specific and custom designs in a wide variety of shapes that can be pressed into various types of metal.

(b) The embossing depths of the design structures, thickness tolerances and flatness tolerances may vary for Fluid Forming surfaces and must be agreed prior to ordering. In particular, the flatness tolerances specified under Section 2.(d) do not apply.

18. Super Mirror No. 8
(a) Super Mirror No. 8 is a high-gloss polished stainless steel finish. It may exhibit irregularities,
(such as pinholes or orange peel) already present in the base material.

19. EcoEtching Finishes
(a) mirrorINOX GmbH & Co. KG shall not be liable for defects attributable to faulty design or print files supplied by the customer or where the customer has approved the use of the design or print files.

20. Visual quality inspection
(a) The following viewing distances and conditions apply to the visual quality inspection of all mirrorINOX finishes: A viewing distance of 10 metres for material used for façade cladding. For material intended for interior design and exposed surfaces, a viewing distance of 2 metres applies. This inspection consists of a frontal visual assessment of the material lasting 1-3 seconds at the production site under daylight conditions.

21. Protective film
(a) The film serves solely to protect the metal surfaces; the integrity of the film is not guaranteed. All materials are supplied with standard laser protective film or fiber laser protective film unless otherwise ordered and accepted in writing by mirrorINOX GmbH & Co. KG. EcoEtching surfaces are supplied with transparent protective film.

(b) With regard to the intended further processing, mirrorINOX GmbH & Co. KG does not warrant the suitability of the protective film used. Data sheets are available upon request.

(c) If a warranty is required, the customer should clarify this directly with the manufacturer or supplier of the selected film and inform mirrorINOX GmbH & Co. KG which film is to be used.
The use of special protective films may incur additional costs.

(d) Protective films should be removed as soon as possible, but in all cases within 3 months of receipt of the material. Film-protected material must not be exposed to weather, direct sunlight or temperatures that could cause the adhesive to separate from the film.

(e) If any adhesive or other residues remain on the material after removing the protective film, they must be removed immediately using suitable cleaning methods.

(f) mirrorINOX GmbH & Co. KG shall not be liable for damage to the material caused by adhesive detachment or for any other damage caused by protective film.

(g) mirrorINOX GmbH & Co. KG does not accept returns of or dispose of the protective film.
